1. Acceptance of Terms
By accessing or using hugrab.us, you agree to be bound by these Terms of Service. If you do not agree, please discontinue use of this website.
2. About the Operator
hugrab.us is operated by SeedLab Group LLC ("Company," "we," "us," or "our"), the authorized U.S. distributor of Hugrab-branded products developed and owned by Needstech Co., Ltd. ("Brand Owner"). The Company is responsible for the operation of this website, order processing, fulfillment, and customer service.
3. Eligibility
Use of this website and purchase of products is restricted to individuals who are 18 years of age or older. By placing an order, you represent that you meet this requirement.
4. Orders and Payment
4.1 Orders are placed electronically and constitute a binding offer to purchase. A contract is formed upon issuance of an order confirmation email.
4.2 The Company reserves the right to cancel or refuse any order at its discretion, including in cases of pricing errors, payment failure, or inventory unavailability. A full refund will be issued for any cancelled paid order.
4.3 All prices are listed in U.S. dollars (USD). Accepted payment methods are displayed at checkout.
4.4 Electronic records of orders, confirmations, and transactions are retained by the Company for dispute resolution purposes.
5. Shipping and Delivery
5.1 Orders are fulfilled from the Company's U.S. warehouse. Estimated delivery timelines provided at checkout are not guaranteed.
5.2 Title and risk of loss transfer to the customer upon handoff to the carrier.
5.3 The Company is not liable for delays or failures attributable to the carrier, customs processing, or circumstances beyond the Company's reasonable control.
5.4 Customers must report damaged, defective, or incorrect orders within 30 days of delivery by contacting help@hugrab.us.
6. Product Warranty and Brand Owner Responsibility
6.1 Hugrab products are developed and owned by Needstech Co., Ltd. The Company distributes these products in the U.S. market solely in the capacity of an authorized distributor and makes no independent warranties regarding product development, formulation, or quality standards.
6.2 All product warranties, if any, are provided solely by the Brand Owner, Needstech Co., Ltd., and are subject to the Brand Owner's warranty terms.
6.3 Claims arising from product defects, personal injury, or property damage attributable to product development or design are the responsibility of the Brand Owner. The Company will provide reasonable assistance in facilitating warranty claims upon request.
7. Limitation of Liability
7.1 To the fullest extent permitted by applicable law, the Company's liability for any claim arising from the use of this website or purchase of products shall not exceed the purchase price paid for the specific product giving rise to the claim.
7.2 The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or personal injury, except where such liability cannot be excluded by law.
7.3 Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.
8. Disclaimer of Warranties
8.1 To the extent permitted by applicable law, products are provided "as is" and "as available" without warranty of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.
8.2 The Company does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Indemnification
You agree to indemnify, defend, and hold harmless SeedLab Group LLC and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses, including reasonable legal fees, arising out of or related to your misuse of products, violation of these Terms, or infringement of any third-party rights.
10. Force Majeure
The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, carrier disruptions, or supply chain failures.
11. Intellectual Property
11.1 The Hugrab brand name, logos, and product-related intellectual property are owned by Needstech Co., Ltd.
11.2 Website content, operational materials, and customer data generated through hugrab.us are the property of SeedLab Group LLC. Unauthorized reproduction or use is prohibited.
12. Dispute Resolution
12.1 The parties agree to attempt to resolve any dispute informally by contacting help@hugrab.us prior to initiating formal proceedings.
12.2 If a dispute cannot be resolved informally, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted on an individual basis. You waive any right to participate in class action proceedings.
12.3 These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
12.4 Notwithstanding the foregoing, either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm.
13. Privacy
The collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
14. Modifications
The Company reserves the right to modify these Terms at any time. Continued use of the website following the posting of updated Terms constitutes acceptance. Material changes will be communicated via email or site notice.
